These Terms of Use ("Terms") govern access to and use of the HEAT Freight website, forms, portals, software tools, and related online services (collectively, the "Site") operated by Heavy Equipment Auction Transport LLC d/b/a HEAT Freight ("HEAT Freight," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope

These Terms govern use of the Site only. Use of the Site does not by itself create a broker-carrier relationship, broker-shipper relationship, credit relationship, or shipment obligation.

Freight services, carrier onboarding, customer onboarding, credit arrangements, shipment tenders, and payment obligations are governed only by separate setup approvals, written agreements, rate confirmations, credit terms, invoices, and shipment-specific documents, as applicable.

Where applicable, your use of the Site may also be subject to our Carrier Terms, Shipper / Customer Terms, Electronic Signature and Electronic Records Consent, and Privacy Policy.

2. Eligibility and Authority

You represent that you are at least 18 years old and legally able to use the Site.

If you use the Site on behalf of a company, carrier, shipper, broker, or other entity, you represent that you have authority to act for and bind that entity.

3. Accuracy of Information

You agree to provide accurate, complete, current, and non-misleading information.

HEAT Freight may rely on information, documents, signatures, contact details, and instructions submitted through the Site unless and until you correct them in writing and HEAT Freight has a reasonable opportunity to act on the correction.

4. Accounts, Credentials, and Security

If the Site allows account access or portal credentials, you are responsible for maintaining the confidentiality of usernames, passwords, one-time codes, and other login credentials.

You are responsible for all activity occurring through your account or login credentials, whether or not authorized by you, unless caused solely by HEAT Freight's own system breach.

You must notify HEAT Freight immediately of any suspected unauthorized access, fraud, or security breach.

5. Verification and Approval Rights

HEAT Freight may verify company identity, authority, ownership, insurance, FMCSA registration, safety status, payment instructions, credit information, and other business or compliance details.

HEAT Freight may accept, reject, suspend, limit, or revoke Site access, setup status, approval status, or use of any form or portal at any time, with or without notice, in its discretion.

6. Electronic Communications

By using the Site or submitting information to HEAT Freight, you consent to receive communications from HEAT Freight by email, phone call, and, where applicable, SMS / text message regarding setup, quotes, shipments, dispatch, claims, collections, account administration, security verification, and related matters.

Message and data rates may apply. Message frequency may vary.

7. Prohibited Uses

  1. use the Site for any unlawful, fraudulent, deceptive, or unauthorized purpose;
  2. impersonate another person or entity;
  3. submit false, altered, forged, stolen, misleading, or unauthorized documents or information;
  4. interfere with Site security, availability, or functionality;
  5. scrape, harvest, monitor, copy, or extract Site data or content by automated means without prior written consent;
  6. upload malware, harmful code, or destructive content;
  7. attempt to bypass HEAT Freight's onboarding, contracting, dispatch, identity-verification, or payment procedures; or
  8. use Site content or information for competitive intelligence, solicitation, circumvention, or any purpose not authorized by HEAT Freight.

8. Submitted Materials and Confidential Information

Documents, forms, rates, shipment details, customer information, carrier information, and other nonpublic business information made available through the Site are confidential and may be used only for the purpose for which they were provided.

Submission of documents through the Site does not transfer ownership of HEAT Freight's business methods, forms, workflows, pricing, customer information, or operational information.

9. Intellectual Property

The Site and its content, including text, design, graphics, branding, forms, software, and workflows, are owned by or licensed to HEAT Freight and are protected by applicable law.

You receive no ownership interest in the Site or its content. You may use the Site only for legitimate business with HEAT Freight.

10. Third-Party Services

The Site may use or link to third-party systems, e-sign vendors, insurance verification tools, FMCSA data sources, mapping tools, communication providers, payment providers, and other third-party services.

HEAT Freight is not responsible for third-party services, policies, uptime, security, or content.

11. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, HEAT Freight disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

HEAT Freight does not warrant that the Site will be available at all times, free from errors, or free from unauthorized third-party interference.

12. Limitation of Liability

To the fullest extent permitted by law, HEAT Freight shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Site or its use, even if advised of the possibility of such damages.

To the fullest extent permitted by law, HEAT Freight's aggregate liability arising out of or relating to the Site shall not exceed the greater of:

  1. one hundred dollars ($100); or
  2. the amount, if any, paid by you directly to HEAT Freight solely for access to the Site in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies only to Site-related claims and does not change any specific obligations contained in separate written freight contracts.

13. Indemnity

You agree to defend, indemnify, and hold harmless HEAT Freight and its owners, affiliates, officers, managers, members, employees, representatives, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. your misuse of the Site;
  2. your breach of these Terms;
  3. your submitted information or documents;
  4. your fraud, misconduct, or violation of law; or
  5. your violation of another person's rights.

14. Suspension and Termination

HEAT Freight may suspend, restrict, or terminate access to the Site at any time, with or without notice, for security, compliance, business, or operational reasons.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

Any dispute arising out of or relating to the Site shall be brought exclusively in the state or federal courts located in Jefferson County, Alabama, and you consent to jurisdiction and venue there.

16. Changes to These Terms

HEAT Freight may update these Terms at any time by posting revised terms on the Site.

Your continued use of the Site after revised terms are posted constitutes acceptance of the revised terms.
